Advised Vingroup – the largest listed company in Vietnam regarding the SK’s US$1 billion investment in Vingroup. This is the largest investment in a Vietnamese listed company so far and the transaction agreements are amongst the most complex corporate transactions in Vietnam to date;
Advised Tien Phuoc & 990 Company Limited on the sale of shares in its real estate company to a Japanese company;
Advised a Singapore-based subsidiary of Mitsubishi Corp. on joint ventures with Vietnamese real estate companies for two commercial housing projects in Ho Chi Minh City and Hanoi;
Advised VinaCapital on (i) the potential investment in the Ho Tram Project (including hotel and resort) developed on the land with total area of 164 ha located at Phuoc Thuan Ward, Xuyen Moc District, Ba Ria – Vung Tau Province; (ii) the sale and lease back transaction in which VinaCapital acquired warehouses from DKSH Vietnam Co., Ltd and leased the acquired warehouses back to DKSH Vietnam Co., Ltd; and (iii) land clearance and compensation agreement with Quang Nam Province’s authorities in respect of its real estate project in Quang Nam Province;
Represented Keppel Land in the acquisition of a strategic stake in the Vietnamese LLC developing the billion US$ plus Thu Thiem project;
Advised Keppel Land on divestment in 2015 from Quang Ba Royal Park Joint Venture Company Ltd operating a serviced apartment building at Quang Ba, Quang An Ward, Tay Ho District, Hanoi City, Vietnam under the brand name “Sedona Suites”;
Advised Mapletree on a joint venture with Saigon Co.op Investment-Development Joint Stock Company and Saigon Transportation Mechanical Corporation to establish a joint stock company namely Vietsin Commercial Complex Development Joint Stock Company in order to engage in the investment, development and management of a major mixed use project in Saigon South modeled on VivoCity;
Acted as co-lead counsel with Korean insolvency counsel on the bid of the GIC- Capital Land – Deutsche Bank consortium to acquire the bank debt controlling Keang Nam Tower in Hanoi;
Advised Kumho (Korea) on the development of a new township area near Hanoi;
Advised Keangnam (Korea) on the development of a real estate development project in Hanoi;
Advised Mapletree (Singapore) on a simultaneous off-shore and on-shore purchase of shares in a Cayman Islands company and a Vietnamese company to obtain control and ownership of the Centerpoint Office Building, a prime office space in the centre of Ho Chi Minh City;
Advised Mapletree (Singapore) on the acquisition of Pacific Place, a mixed-use building located in the center of Hanoi, via the on-shore and off-shore purchase of all shares in the project developer;
Advised a real estate fund on its proposed acquisition of certain real estate assets developed by Indochina Capital in Vietnam;
Represented Crescent Point Capital Management on an acquisition of shares in offshore holding companies of the following real estate projects in Vietnam: (i) Six Senses Hideaway Condao project in Ba Ria-Vung Tau Province; (ii) the Nam Hai resort in Quang Nam Province; and (iii) Indochina Riverside Towers in Da Nang City.
Advised Bitexco on the negotiation of various hotel management contracts with Marriot for the management of Marriott Hotel, a 5-star hotel owned by Bitexco in Hanoi;
Advised a Pan-Asian real estate fund on a residential development in Ho Chi Minh City;
Advised a leading Australian real estate developer on the acquisition and development of a residential complex in District 9 of Ho Chi Minh City and a “golden land” area in the downtown of Ho Chi Minh City;
Advised a Singapore real estate developer on fund mobilization and development of a package of documents for the purpose of sale of and marketing real estate property located in Da Nang;
Advised Hanoi Construction Corporation in a joint venture with a foreign investor to develop a new township near District 9, Ho Chi Minh City;
Advised Vietcombank Fund Management Joint Venture Company in a joint venture with a major real estate developer of Singapore to develop a new ecological township on more than 100 hectares in Dong Nai Province;
Advised Inchem Vietnam Coatings Limited to transfer its land site with an area of 18,343 m2 in Tan Dong Hiep B Industrial Zones, Binh Duong Province;
Advised Chip Eng Seng Corporation Ltd on its investment in local real estate companies who are developing residential and complex projects in Ho Chi Minh City; and
